Welcome to The Cliply. These Terms of Service ("Terms") govern your access to and use of the website located at thecliply.com(the "Service"), operated by The Cliply ("we," "us," or "our"). Please read these Terms carefully before using our Service.

By accessing or using The Cliply, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use our Service.

1. Acceptance of Terms

By accessing and using The Cliply, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service, along with our Privacy Policy, which is incorporated into these Terms by reference. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

2. Description of Service

The Cliply provides free, browser-based tools for file conversion, compression, resizing, and manipulation. Our current suite of tools includes, but is not limited to:

• Image conversion tools (WebP to JPG, PNG to JPG, HEIC to JPG, JPG to PNG)
• Image optimization tools (image compression, image resizing)
• PDF tools (merge PDF, split PDF, compress PDF)

We may add, modify, or discontinue tools and features at our sole discretion, with or without prior notice. We do not guarantee that any specific tool will remain available indefinitely.

3. User Eligibility

The Cliply is available to individuals who are at least 13 years of age. By using our Service, you represent and warrant that you are at least 13 years old. If you are between the ages of 13 and 18 (or the age of legal majority in your jurisdiction), you may only use the Service with the consent and supervision of a parent or legal guardian who agrees to be bound by these Terms.

We do not knowingly provide services to children under 13. If we learn that a user is under 13, we will take appropriate steps in accordance with our Privacy Policy and applicable law.

4. User Responsibilities

When using The Cliply, you agree to the following:

1. Lawful Use: You will use the Service only for lawful purposes and in accordance with these Terms. You will not use the Service in any way that violates any applicable federal, state, local, or international law or regulation.
2. File Ownership: You represent and warrant that you own or have the legal right to process any files you use with our tools. You will not use The Cliply to process files that infringe upon the intellectual property rights of any third party.
3. No Misuse: You will not attempt to interfere with, disrupt, or harm the Service or its infrastructure. This includes, but is not limited to, introducing malware, attempting unauthorized access, reverse engineering our tools beyond what is permitted by applicable law, or engaging in any activity that imposes an unreasonable burden on our infrastructure.
4. No Automation Without Permission: You will not use bots, scrapers, or other automated means to access the Service without our prior written consent, except for standard search engine crawling.
5. Compliance: You are solely responsible for ensuring that your use of our tools complies with all applicable laws and regulations in your jurisdiction, including data protection and export control laws.

5. Intellectual Property

The Service, including its original content (excluding user-processed files), features, functionality, design, source code, and branding, is and remains the exclusive property of The Cliply and is protected by copyright, trademark, and other intellectual property laws. Our trade name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of The Cliply. You may not use these marks without our prior written permission.

5.2 Your Content

You retain full ownership of all files you process using The Cliply. Since all processing occurs client-side in your browser, we never have access to, possession of, or any rights to your files. We claim no intellectual property rights over any content you process through our Service.

5.3 Open-Source Components

Certain components of our tools may utilize open-source libraries and frameworks. These components are subject to their respective open-source licenses, which take precedence over these Terms for those specific components.

6. Disclaimer of Warranties

We do not warrant that:

• The Service will be available at all times, uninterrupted, or error-free
• Conversion or processing results will be perfectly accurate or meet your specific requirements
• The Service will be compatible with all browsers, devices, or file types
• Any errors or defects in the Service will be corrected
• The Service is free of viruses or other harmful components

Since file processing occurs entirely in your browser, the quality and speed of processing may vary depending on your device's hardware capabilities, available memory, browser version, and the size and complexity of the files being processed. You acknowledge that these factors are outside our control.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL THE CLIPLY, ITS OWNERS, OPERATORS, AFFILIATES, OR SERVICE PROVIDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

• Loss of data, revenue, profits, or business opportunities
• Damage to files, documents, or digital assets resulting from the use of our tools
• Costs of procurement of substitute services
• Any matters beyond our reasonable control

This limitation applies whether the damages are based on warranty, contract, tort (including negligence), strict liability, or any other legal theory, and whether or not we have been advised of the possibility of such damages.

You acknowledge that the Service is provided free of charge and that the limitations of liability set forth herein are a fundamental basis of the bargain between you and The Cliply. Some jurisdictions do not allow the exclusion or limitation of incidental or consequential damages, so the above limitation may not apply to you.

8. Indemnification

You agree to defend, indemnify, and hold harmless The Cliply, its owners, operators, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including attorney's fees) arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party right, including intellectual property, privacy, or proprietary rights; or (d) any claim that your use of the Service caused damage to a third party.

9. Third-Party Content & Advertising

The Cliply displays third-party advertisements through Google AdSense. We are not responsible for the content, accuracy, or opinions expressed in any third-party advertisements. The inclusion of advertising on our Service does not constitute endorsement or recommendation by The Cliply.

Our Service may contain links to third-party websites or resources. We provide these links for convenience only and are not responsible for the content, products, or services offered by third-party sites. Your use of third-party websites is at your own risk and subject to their respective terms and policies.

10. Service Availability & Modifications

We strive to maintain continuous availability of our Service but do not guarantee uptime. We reserve the right to modify, suspend, or discontinue any part of the Service, temporarily or permanently, at any time and without prior notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.

We may also impose limits on certain features or restrict your access to part or all of the Service without notice or liability.

11. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to its conflict of law provisions. Any legal suit, action, or proceeding arising out of or related to these Terms or the Service shall be instituted exclusively in the federal or state courts located in the United States, and you irrevocably submit to the exclusive jurisdiction of such courts.

Before initiating any formal legal action, you agree to first attempt to resolve any dispute informally by contacting us at the email address below. We will attempt to resolve the dispute informally within 30 days. If the dispute is not resolved within 30 days, either party may proceed with formal legal action.

12. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving the original intent.

13. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and The Cliply regarding the use of our Service. These Terms supersede any prior or contemporaneous agreements, communications, and proposals, whether oral or written, between you and The Cliply regarding the Service.

No waiver of any term or condition shall be deemed a further or continuing waiver of such term or any other term. Our failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.
